These terms govern your use of www.thetrellisstudio.com and the client portal at portal.thetrellisstudio.com, provided by Trellis Works LLC, a Washington company doing business as The Trellis Studio (“we,” “us”). By using them you agree to these terms. If you do not agree, please do not use them. Our apps, Learning Camp and Tempo Lab, have their own terms.
Sending a project request does not create a contract, and we are not obliged to accept it. Any proposal we send is an offer only. Work begins once you accept a written statement of work (“SOW”) and, if the SOW says so, pay a deposit. The SOW sets out the scope, schedule, fees, and ownership of deliverables. If the SOW and these terms conflict, the SOW controls for that project.
Clicking to accept a SOW in the portal is your agreement to it, just as if you signed it. We keep a record of who accepted, when, and which version. You confirm that you have the authority to accept on behalf of your business.
Fees are as stated in your SOW or invoice, in US dollars. Card payments are processed by Stripe, and by paying you also agree to Stripe’s terms. Unless the SOW says otherwise, invoices are due on receipt. We may pause work on an overdue invoice. Refunds, if any, are as stated in the SOW.
Do not use the website or portal to break the law, upload harmful or infringing material, probe or disrupt our systems, scrape them, or try to reach another client’s information.
We may use AI tools to help with drafting and delivery. A person at our studio reviews the work we hand over. AI output can contain mistakes, so please review deliverables before relying on them for important decisions.
The website and portal are provided “as is” and “as available.” We do not promise they will be uninterrupted or error-free. Any warranties for project work are only those stated in the SOW. To the extent allowed by law, we disclaim all other warranties.
To the extent allowed by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim relating to the website, the portal, or a project is limited to the fees you paid us for that project in the 12 months before the claim arose. Nothing here limits liability that cannot be limited by law.
You may stop using the portal at any time. We may end or suspend access if you breach these terms. Provisions that by their nature should survive, such as payment, ownership, confidentiality, and liability limits, will survive.
These terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Washington State, and you and we consent to those courts.
We may update these terms. The date above shows the latest version. If you keep using the website or portal after a change, you accept the new terms. Changes never alter a SOW you have already accepted.
